Vendor Agreement – Tapatup
This Agreement (“Agreement”) is entered into between Tapatup (“Platform”, “we”, “us”) and the registered seller (“Vendor”, “you”).
By creating a Vendor account, listing products, or conducting sales on Tapatup, you agree to the following terms.
1. Definitions
Platform: The Tapatup online marketplace.
Vendor: A registered seller offering products on the Platform.
Customer: The end buyer.
Service: All marketplace services provided by Tapatup.
2. Vendor Responsibilities
Maintain accurate stock and update it in real time.
Handle fulfillment, packaging, shipping, and provide valid tracking numbers.
Cover all shipping costs (free or as stated in the listing).
Manage returns, refunds, and warranties in accordance with consumer law.
Respond to customer inquiries within 48 hours; if unanswered, Tapatup may intervene to resolve.
Ensure transparent pricing (clearly display VAT, shipping costs, and any other fees).
Publish accurate and lawful listings that do not infringe third-party IP.

Gold Plan
Subscription Fee: €29.99 / month
Products: up to 10,000
Revenue Cap: €10,000 / month
Transaction Fee: 5% per order
Market Reach: regional
Microstore: full microstore (custom subdomain €19.99 setup fee)
Promotion: priority promotion opportunities
Integrations: Shopify, WooCommerce, Wix, SquareUp
Note: All fees are non-refundable.
4. Transactions & Payouts
Transaction fees are deducted automatically per order.
Payouts are processed monthly, on the 15th of the following month.
Base currency: Euro (€).
Minimum payout threshold: €50 (subject to change by Tapatup with prior notice).
Transfer costs are borne by the Vendor.
Failed payouts due to incorrect Vendor details are held until corrected, without liability for delay.
Tapatup may delay/withhold payouts in case of disputes, chargebacks, or suspicious activity.
Tapatup uses secure payment gateways and does not store sensitive card data.
5. Reserve Funds (Security Hold)
Up to 10% of payouts may be held for 30 days to cover chargebacks, returns, or disputes.
Released after the holding period if no disputes are open.
6. Chargebacks & Gateway Losses
Vendor is fully responsible for chargebacks/disputes/gateway losses.
€20 handling fee per chargeback applies.
Transaction fees are non-refundable, even if an order is canceled or returned.
Within 7 days, the Vendor must provide proof of delivery and communication with valid tracking from certified carriers; otherwise, funds may be lost.
7. Penalties
Out of Stock → €1 per canceled order.
Shipment delay >3 days → €2 per order.
Vendor-initiated cancellation → €3 per order.
Monthly cancellation rate >5% → account suspension.
Repeated violations → permanent closure.
8. KYC & Verification
ID or business registration (NIPT/VAT ID) required.
Failure to provide results in suspension or withheld payouts.
9. Prohibited & Regulated Products
9.1 Prohibited Products
Listing/selling of the following is strictly forbidden:
Illegal goods.
Counterfeit products.
Products infringing third-party IP (copyright, trademarks, registered patents).
Branded products without authorization from the manufacturer or official distributor.
Firearms, ammunition, explosives, military equipment, or accessories.
Drugs, narcotics, hazardous chemicals, radioactive materials.
Illegal adult content; hate, violence, or extremist materials.
Harmful goods (expired food, unauthorized medical devices, uncertified cosmetics).
Fraudulent goods, pyramid schemes, or illegal activities.
Illegal digital products (pirated software, copied courses, illegally downloaded content).
Any other goods prohibited by local/international law or Tapatup policy.
9.2 Regulated Products (require valid license/authorization)
Sale allowed only if Vendor provides valid license/certification/authorization during KYC or upon request:
Food & beverages → sanitary license, proper labeling, expiration date.
Cosmetics & personal care → safety certifications and/or health authority notification.
Supplements & OTC → authorization from national drug agency or relevant authority.
Medical devices → required certifications/approvals.
Alcohol → sales license.
Financial/insurance products → license from financial authorities.
Electrical/electronic goods → CE, RoHS, or equivalent certification.
Branded products (Nike, Apple, Gucci, etc.) → allowed only with proof of authorized distribution or valid manufacturer/distributor contract.
Failure to provide valid documents entitles Tapatup to remove listings and suspend or terminate the Vendor account.
10. Taxes, VAT & Invoicing
Vendor is fully responsible for taxes, VAT, customs, and fiscal obligations according to the country of operation.
Invoices for Platform fees (commissions, subscriptions, other fees) are issued by Tapatup’s legal entity in Estonia, unless local subsidiaries are required to issue domestic invoices under national law.
Vendors must provide NIPT/VAT ID during KYC.
Any fines or penalties from tax authorities for Vendor non-compliance fall solely on the Vendor.
11. Privacy & Data Protection
Customer data used only for order fulfillment.
Use for sharing, marketing, or resale outside the order is prohibited.
Tapatup complies with GDPR and local laws.
Data retained only for the legally/operationally required period.
International transfers are made only with legal safeguards (e.g., Standard Contractual Clauses).
12. Content & Ownership (IP)
Vendor retains ownership of its content (photos, descriptions, brands).
Grants Tapatup a non-exclusive, royalty-free, transferable license to use/display/market it in relation to the Platform.
Vendor warrants content does not infringe third-party rights.
13. Returns Policy & Buyer Protection
Returns and refunds follow consumer law.
Vendor must respect legal timeframes and process refunds.
If Vendor fails to respond, Tapatup may intervene and issue refunds on their behalf.
14. Digital Products & Services
Delivery is deemed complete upon electronic provision/access.
After download/access, refunds are not mandatory unless defective.
Vendor guarantees legality/licensing of digital content.
15. Performance Standards (SLA)
ODR < 1%, Late Shipment < 4%, Cancellation Rate < 2%.
Failure → suspension or account closure.
16. Anti-Fraud & Reputation
Multi-accounting without approval, review manipulation, misleading listings, or malicious reputation damage is prohibited.
Violations → suspension/permanent closure.
17. Limitation of Liability
Service is provided “as is”.
Tapatup is not liable for indirect damages, lost profits, or third-party fraud.
Vendor bears fiscal/regulatory responsibilities.
18. Indemnification
Vendor will indemnify and hold harmless Tapatup against claims arising from their listings/sales/conduct.
19. Platform Rights
Tapatup may withhold/offset funds for disputes, refunds, or penalties.
May audit accounts and request documents with at least 7 days’ notice.
May suspend/terminate accounts in cases of fraud or serious violations.
20. Non-Circumvention
Vendors may not contact customers outside the Platform to complete sales.
Violation → immediate termination.
21. Marketing & Brand Usage
Tapatup may use Vendor’s name, logo, and images for marketing without extra compensation.
Vendors may purchase paid marketing options (homepage highlights, featured spots).
Use of Tapatup brand outside the Platform allowed only with written authorization.
22. Force Majeure
Tapatup is not liable for delays/disruptions caused by events beyond control (disasters, government acts, technical outages).
23. Dispute Resolution
Parties will first attempt to resolve disputes amicably via direct communication.
If unresolved, disputes are escalated:
Vendor – Customer communication.
Tapatup Support intervention.
Arbitration or competent courts, as per Clause 24.
24. Governing Law
This Agreement is governed by Estonian law.
For services provided by Tapatup subsidiaries outside the EU (e.g., Balkans), mandatory local laws apply (tax, consumer protection, licensing).
Unresolved disputes are subject to competent courts in Tallinn, Estonia. However, outside-EU jurisdictions where mandatory law requires otherwise, disputes will be resolved by local courts or arbitration.
For EU customers, EU consumer protection rules apply. For non-EU customers, local laws of the customer’s country apply.
25. Term & Renewal
Agreement is indefinite, with automatic monthly renewal based on the chosen plan.
Vendor may terminate account with 30 days’ written notice.
26. Selling on Other Platforms
Selling on other marketplaces is allowed.
Redirecting Tapatup customers to other channels via listings/messages is prohibited.
27. Financial Reporting for Vendors
Vendors will have a financial dashboard showing: gross revenue, commissions, VAT, reserve funds, Tapatup invoices, net payouts, and dispute status.
28. Platform Dissolution
If Tapatup ceases operation, reasonable efforts will be made to distribute pending payouts within 60 days, where possible.
Agreement ends without penalties for Vendors.
Payouts are prioritized based on collected customer funds, with no further financial obligation for Tapatup.
29. Changes to the Agreement
Tapatup may amend this Agreement at any time.
30 days’ notice for material changes.
Continued use = acceptance.
Fee changes do not apply to the current billing cycle but only to the following month.
